The 1996 Arrangement

協定書

財団法人キロシ財団とキロシ光学株式会社とは、次のとおり協定する。
The Kiroshi Foundation and Kiroshi Opticals K.K. agree as follows.

1. 第一条（目的）

   本協定は、財団法人キロシ財団（以下「財団」という。）とキロシ光学株式会社（以下「会社」という。）との関係について、その基本的な事項を定めることを目的とする。

   Article 1 (Purpose)

   This Arrangement sets out the basic terms of the relationship between the Kiroshi Foundation (“the Foundation”) and Kiroshi Opticals K.K. (“the Company”).

2. 第二条（理事の推薦）

   会社は、財団の理事のうち二名を推薦することができる。ただし、理事長及び業務執行理事を推薦することはできない。

   Article 2 (Nomination of directors)

   The Company may nominate two of the Foundation’s directors. It may not nominate the chair or the executive director.

3. 第三条（株式の保有）

   財団は、評議員会において評議員の三分の二以上の賛成を得なければ、その保有する会社の株式を、会社の発行済株式総数の百分の二十未満に減ずることはできない。百分の二十を超える部分については、財団の判断により処分することができる。

   Article 3 (Shareholding)

   The Foundation shall not reduce its holding of the Company’s shares below twenty per cent of the Company’s issued shares without the approval of at least two-thirds of the councillors at a meeting of the Board of Councillors. It may dispose of shares above twenty per cent at its own discretion.

4. 第四条（相互の独立）

   会社は、財団の助成及び事業について指示を行ってはならない。財団は、株主総会における議決権の行使による場合を除き、会社の事業について指示を行ってはならない。

   Article 4 (Independence)

   The Company shall not direct the Foundation’s grants or programmes. The Foundation shall not direct the Company’s business, except by exercising its votes at general meetings of shareholders.

5. 第五条（名称及び標章の使用）

   いずれの当事者も、相手方の名称又は標章を広告に使用してはならない。会社は、財団が存在することを表示することができる。ただし、財団が会社の製品を推奨している旨を表示してはならない。

   Article 5 (Names and marks)

   Neither party shall use the other’s name or mark in advertising. The Company may state that the Foundation exists. It shall not state that the Foundation endorses any of the Company’s products.

6. 第六条（情報の提供）

   会社は、株主に提供する情報と同一の情報を、同時に財団に提供する。財団は、会社の未公表の情報を求めてはならない。

   Article 6 (Information)

   The Company shall give the Foundation the same information it gives its other shareholders, at the same time. The Foundation shall not seek information about the Company that has not been made public.

7. 第七条（見直し）

   本協定は、いずれかの当事者の申出により、双方の誠実な協議を経て見直すことができる。

   Article 7 (Review)

   Either party may ask for this Arrangement to be reviewed, after which the parties shall consult in good faith.

8. 第八条（有効期間）

   本協定は、締結の日から効力を生じ、当事者が書面により合意して終了させるまで効力を有する。

   Article 8 (Term)

   This Arrangement takes effect on the date it is signed and remains in effect until the parties agree in writing to end it.
